TM The Studio
OUR STANDARD CONTRACT OF PROJECT WORK
This contract of project work is made between the “Client” and Tina-Lee McDougall Ltd, Trading as “TM The Studio”, as listed on the agreed Estimate.
Project (as listed in the Estimate)
TM The Studio agrees to provide graphic design services as listed in the “items” section of the Estimate when approved. TM The Studio agrees they will remain the sole provider for the term of the Project. All work will remain unique, original, and free of any plagiarism.
Commencement Deposit
The Project shall commence upon a 50% deposit being paid. All final fees will be invoiced upon submission of deliverables to the Client and will be due under a 30-day payment term. An upfront deposit of 50% is due to TM The Studio before the start of any work.
Social Media & Website Terms
All monthly social media and website packages are payable by direct debit on the 1st of the month. This payment is for the forthcoming month (i.e. paid in advance) and no work will be carried out if this payment is not made. Please set up a Direct Debit made out to Tina-Lee McDougall Ltd, HSBC Acc 81799630, Sort code 40 45 22.
Additional Costs
If the scope of work changes during the project’s completion additional costs may occur. TM The Studio will submit any price changes to the Client prior to beginning such tasks. Client is liable to pay a 8% late fee upon exceeding the due date mentioned on invoices.
Confidentiality
TM The Studio hereby acknowledges they may be involved in or become aware of information that relates to the client on a personal level including information related to the client’s past, future, present, customer names, mock-ups, marketing plans, project information, and financial documents. TM The Studio agrees to protect all the above information and keep any information obtained confidential. However, TM The Studio will be permitted to display final work on their website, social feeds or in other promotional materials.
Client Approval
The Client will be notified and must approve any and all materials prior to project finalisation and submission. Furthermore, the Client will have permission to accept the work and request a maximum of three (3) revisions.
Governing Law
The laws of the United Kingdom and Northern Ireland govern the rights and obligations of TM The Studio and the Client under this Contract, without regard to conflict of law principles of the United Kingdom and Northern Ireland.
Termination
Either party may terminate this contract at any time for any reason they deem necessary with written notice. Upon cancellation of this contract, the Client will be responsible for all expenses incurred prior to contract termination. Should the Client choose to cancel this project after the project’s completion, the client will remain responsible for full payment of the complete project total. For all social media packages, a 60-day written notice period is required. For all website packages, a 30-day written notice is required and any outstanding monthly payments within the 24month subscription will be due in full, including VAT.
Limitation of Liability
TM The Studio and the Client are not liable for breach-of-contract damages that the breaching party could not reasonably have foreseen when it entered this Contract.
Agreement
By accepting the Estimate and the Client paying the 50% deposit, the Parties agree they have read, understood, and will comply with the terms listed in this Contract of Project Work.
* Fair use Policy:
Website Rental without (CMS) - No more than two hours per month to be exceeded
Website Rental with (CMS) - No more than four hours per month to be exceeded
No more than one hour’s telephone support per month
Email accounts cannot exceed 6GB
Static website pages cannot exceed one hundred
(CMS) Content Management Items/Collections cannot exceed 2,000
Remote Web Support monthly contract not to exceed 3 hours per month, if this is exceeded you will be charged according to our hourly rates
